By accessing or using CeramicCRM ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms. If you do not agree to these Terms, you must not use the Service.
CeramicCRM is a customer relationship management platform designed for modern marketing. The Service includes profile management, audience segmentation, campaign orchestration, multi-channel messaging, and analytics capabilities. We reserve the right to modify, suspend, or discontinue any part of the Service with reasonable notice.

Where you use the Service to process personal data of your customers or contacts, you act as the data controller and CeramicCRM acts as the data processor under Article 28 GDPR. Our data processing practices are described in our Privacy Policy. Upon request, we will enter into a Data Processing Agreement (DPA) as required by the GDPR.
All intellectual property rights in the Service, including but not limited to software, design, logos, and documentation, are owned by CeramicCRM and are protected by applicable intellectual property laws. The source code of CeramicCRM is proprietary and subject to a separate license agreement. No rights to the source code are granted by these Terms unless explicitly stated.
You retain all rights to the data you upload to the Service. By using the Service, you grant us a limited license to process your data solely for the purpose of providing the Service.
We strive to maintain high availability but do not guarantee uninterrupted access to the Service. The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, to the maximum extent permitted by applicable law. Nothing in these Terms excludes or limits warranties that cannot be excluded under EU consumer protection law.
To the maximum extent permitted by applicable law, CeramicCRM shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the Service. Our total liability shall not exceed the amount you paid for the Service in the twelve months preceding the claim. These limitations do not apply to liability that cannot be excluded or limited under mandatory applicable law, including EU consumer protection regulations.
Either party may terminate these Terms at any time. Upon termination, your right to access the Service ceases immediately. We will retain your data for 30 days following termination to allow for data export, after which it will be permanently deleted in accordance with our data retention policy and GDPR obligations.
These Terms shall be governed by and construed in accordance with the laws of the European Union and the Member State in which CeramicCRM is established. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the competent courts of that Member State, without prejudice to mandatory consumer protection provisions that may grant you the right to bring proceedings in the courts of your habitual residence.
We may update these Terms from time to time. Material changes will be communicated to you at least 30 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service.
